Terms of service
The agreement between OpsBrio and the company that runs its operation on it. Plain words, and they mean what they say.

This is a draft awaiting legal review. The marked gaps are facts only the company can fill, and the whole document should be read by a lawyer in the state it will be enforced in before anybody signs up under it.
01Who these terms are between
OpsBrio is provided by [legal entity name], a [state] corporation with its registered office at [registered address] (“OpsBrio”, “we”, “us”). These terms are between OpsBrio and the company that opens an account (“you”, “your company”). They apply from the day your portal is created, including during a free trial.
The person who opens the account confirms they may bind the company. If you are signing up for somebody else, do not accept these terms until they have told you to.
02What OpsBrio is
OpsBrio is an operations portal for Amazon Delivery Service Partners. Your company gets its own portal at its own web address, running on its own database. Roster, dispatch, fleet, compliance, hiring, messaging and the drivers’ phone app are all part of it.
Your database is yours alone. We do not put two companies in one database. No other customer’s portal can read your records, and yours cannot read theirs.
A Chrome extension copies the operational data Amazon’s DSP portal already shows your dispatcher into your portal. It runs inside that person’s own signed-in browser session. It never asks for, stores or transmits an Amazon password, and it cannot sign in to Amazon.
03The free trial
A new company gets 30 days free. We do not ask for a card to start it, and we set the portal up with you rather than leaving you to it.
If you do not tell us to continue before the trial ends, the portal is paused rather than billed. A paused portal keeps your records for [30] days so you can change your mind or take an export, and is then deleted.
04What it costs
Per company, per month:
- $300 for your first station.
- +$100 for a second station.
- +$75 for each station after that.
Every dispatcher, every driver, every module and every screen is inside that price. We do not charge per seat, and adding a person never changes your bill.
Paid yearly, you pay ten months for twelve, in advance. Paid monthly, you pay in advance each month. Prices are in US dollars and exclude any sales or use tax, which is added where it is due.
A station counts from the day it is opened in your portal. If you close a station, the change takes effect at your next renewal. [Refunds for part-periods: state the rule the company wants — none, or pro rata].
05Texting, billed at cost
Hiring email is included in the price, sent from a domain you own.
Hiring text messages are optional and are billed at what they cost us, with no margin added. Each of your stations gets its own number. As a guide, at the carriers’ current rates that is roughly 1.1¢ a message, about $10 a month for the campaign registration, about $1.15 a month per number, and a one-off $44 to register your brand with the carriers. These are the carriers’ prices, not ours, and they change; we pass on what we are charged and will show you the invoice on request.
06Your logins and your people
You decide who gets a login and what each role may see. You are responsible for what the people you invite do with their access, for taking access away when somebody leaves, and for the accuracy of what your team puts in.
Drivers see their own records only: their schedule, their van, their scorecard, their messages. That rule is enforced in the database rather than on the screen, so it holds even if a screen is wrong.
Passwords are never set by us and never shown to us. Tell us straight away if you think a login has been taken over.
07Our access to your portal
An OpsBrio support login exists in your portal only if you turn it on. It is off unless you ask for it, you can see it on your own users list, and you can remove it at any time without asking us.
Separately, the small number of our staff who run the platform can reach the systems your portal runs on, which is what lets us apply updates, restore a backup and fix a fault. We do that to keep the service running and to answer a request from you, never to browse your records. What we may do with personal data in the course of it is set out in the privacy policy.
08Your records are yours
Everything your company puts into the portal, and everything the sync brings in on your behalf, belongs to you. We claim no ownership of it. We use it to run the service for you and for nothing else: we do not sell it, we do not share it with another customer, we do not use it for advertising, and we do not use it to train any model.
You can export from every list screen while your account is live. Ask us and we will hand you a full copy of your database.
When your agreement ends, we keep your database for [30] days so you can take a copy, and then the whole project is deleted, backups included, within a further [30] days.
09Amazon
OpsBrio is not affiliated with, endorsed by or connected to Amazon. “Amazon” and its product names belong to Amazon.
Your agreement with Amazon is yours. You are responsible for making sure that copying your own operational data out of Amazon’s DSP portal into your own systems is permitted under it, and for the lawfulness of the records you bring across. If Amazon changes its portal, the sync may stop working until we adapt it; the rest of your portal keeps running.
10What you must not do
- Put records into the portal that you have no right to hold.
- Use it to hold data about people who are not connected to your delivery operation.
- Share one login between people, or give access to anyone outside your company.
- Try to reach another customer’s portal or database, or test our security without written permission.
- Resell the service, or run somebody else’s operation on your portal without telling us.
- Send messages through the hiring tools to people who have not agreed to hear from you.
If something here is being broken and it puts other customers or somebody’s data at risk, we may suspend the account while we sort it out. We will tell you why, in writing, the same day.
11Availability and support
We aim to keep your portal available around the clock, and the parts of the day a DSP cannot afford to lose — the morning build and dispatch — are what we watch most closely. Updates go out during the working day and are designed not to interrupt anyone.

Support is by email at privacy@opsbrio.com [replace with the support mailbox once it exists]. We answer within one working day.
12Changes to the service and these terms
The product changes constantly, which is the point of it. We add and improve things without notice. If we remove something you rely on, we will tell you at least [30] days beforehand.
We will give you at least 60 days’ notice by email before a price rise, and it will not take effect until your next renewal. If you do not want to pay it, cancel before then and you owe nothing further.
If we change these terms in a way that matters to you, we will email you at least 30 days beforehand. Carrying on using the portal after that is how you accept the change.
13Ending the agreement
You can cancel at any time, by email, and it takes effect at the end of the period you have already paid for. You keep full use of the portal until then.
We can end the agreement if you do not pay after we have asked twice, if you break the rules above and do not put it right within 14 days of being asked, or on [60] days’ notice for any other reason. If we end it for any reason other than your breach, we refund the unused part of what you have paid.
What happens to your records afterwards is in section 8.
14Warranties
We will provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided as it is: we do not warrant that it will be uninterrupted or free of faults, and we do not warrant the accuracy of data that reaches your portal from Amazon or from any other source outside our control.
OpsBrio is a record-keeping tool, not legal, tax, employment or safety advice. The compliance screens help you see what your own records say. They do not decide whether you are compliant, and using them does not transfer that responsibility to us.
15Limits on liability
Neither of us is liable to the other for indirect or consequential loss, lost profit, lost business or lost goodwill.
Our total liability to you in connection with this agreement is limited to the fees you paid us in the twelve months before the claim arose. Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
You will cover us against claims brought by a third party because of records you put into the portal that you had no right to hold, or because of how you used the hiring messages.
16Law, disputes and contact
These terms are governed by the laws of [state], and the courts of [county, state] have exclusive jurisdiction. [If the company wants arbitration or a jury waiver instead, that is a decision for counsel and replaces this paragraph].
Before either of us starts anything formal, we will each put the problem in writing and give the other 30 days to fix it. Most things are a misunderstanding and a phone call.
